Terms of Service

1. Agreement to Terms

By accessing or using JobProof's water mitigation documentation platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individual contractors, restoration companies, and their employees.

2. Description of Service

JobProof provides a cloud-based platform for water damage restoration contractors to document mitigation jobs, capture photos and moisture readings, generate insurance-ready reports, and manage job documentation. The Service includes:

• Photo documentation and organization tools
• Water mitigation calculator and drying log features
• Report generation for insurance claims
• Team collaboration and job management features
• Pack-out inventory management (where applicable)

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription after the free trial period. Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.

4.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Payment Processing

All payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.4 Refunds

Subscription fees are generally non-refundable. However, we may consider refund requests on a case-by-case basis at our sole discretion.

4.5 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price increase takes effect on your account.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers connected to it
• Use the Service for fraudulent purposes or to misrepresent information to insurance companies
• Share your account credentials with unauthorized individuals
• Resell, sublicense, or redistribute the Service without authorization

6. User Content

6.1 Your Content

You retain ownership of all content you upload, create, or share through the Service ("User Content"), including photos, documents, notes, and reports. By uploading User Content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

6.2 Content Responsibility

You are solely responsible for your User Content and the consequences of uploading or sharing it. You represent that you have all necessary rights to upload the content and that it does not violate any third party's rights.

6.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by JobProof and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

8. Third-Party Services

The Service may integrate with or contain links to third-party websites or services that are not owned or controlled by JobProof. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

Your use of third-party services, such as payment processors, is governed by their respective terms and conditions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee that the Service will meet your specific requirements or expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBPROOF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless JobProof and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third party right, including intellectual property or privacy rights
• Any claim that your User Content caused damage to a third party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and JobProof regarding the use of the Service.
